The attorneys in the commercial law and securities practice group of Holme Roberts & Owen LLP (HRO) collectively have experience in virtually every aspect of a corporate transaction. Mergers and Acquisitions

Our firm has been extensively involved in merger and acquisition transactions, large and small, many of which involved securities issuances. Unlike many of our competitors, HROM&A is not comprised of corporate generalists; rather, we have a group of deal lawyers who specialize in mergers and acquisitions and, as a result, drive successful results for our clients. We advise the most demanding companies on all major forms of mergers and acquisitions, capital restructuring, and reorganization transactions.

Securities Law

Securities law practitioners at HRO engage in a wide variety of matters for a diverse set of clients. We act as issuer's and underwriter's counsel in public offerings of common stock, preferred stock, debt, limited partnership interests and other securities. These offerings occur in many contexts, including initial public offerings (IPOs) and in connection with mergers, acquisitions, exchange offers, tender offers and consolidations.

Securities Offerings

Lawyers in the firm have substantial experience in the preparation of registration statements and prospectuses and private placement and other disclosure documents. We have represented issuers in underwritten equity offerings and in Rule 144A offerings of corporate debt and their related exchange offers. We have considerable experience with joint listings on various European and United States exchanges.

Compliance

Securities attorneys in the firm also handle compliance matters for publicly held companies (review and preparation of Forms 10-K and 10-Q, annual reports, proxy statements, Section 13 and 16 filings) and counsel clients regarding disclosure. We have also dealt with the New York Stock Exchange and Nasdaq in connection with securities listings and other matters, the National Association of Securities Dealers (NASD) in connection with financing compliance and state securities ("blue sky") commissioners in connection with state securities registration matters.
