The Firm

The Los Angeles office was established in 2005 to address the needs of the firm’s existing clients and to capitalize on the growth potential inherent in Southern California. The Los Angeles office currently has a full complement of partners and associates in the corporate, litigation, real estate and employment law departments. These attorneys provide a broad spectrum of legal services, including mergers and acquisitions, securities, leasing, mortgage work, joint ventures, corporate and real estate financing, commercial litigation and employment litigation and consulting. Moreover, the attorneys in Los Angeles work closely with colleagues in other offices to be able to seamlessly provide clients with the full array of HRO’s service offerings.

Banking & Finance
 
Our attorneys are involved in all aspects of representation, ranging from small loans and regulatory matters to large institutional amalgamations. Lawyers in this group work closely with those in other practice groups. Cooperation of this type recently resulted in the firm's winning, at the federal appellate level, a leading case involving the taxation of national bank core deposit intangibles. Other examples occur in the securities area, where the firm often counsels national and state banks on Glass-Steagall Act questions and allied matters.
 
Bankruptcy
 
HRO’s Bankruptcy, Financial Restructuring and Creditors’ Rights Practice Group represents creditors and debtors in all matters ranging from informal workouts to sophisticated, complex corporate reorganizations. Primarily our clients are institutional lenders and other secured and unsecured creditors, including trade creditors, vendors, utility providers, landlords, and equipment lessors. We also have extensive experience in the representation of creditors’ committees, bankruptcy trustees, liquidating agents, and federal and state court receivers.
 
Corporate, Commercial Law and Securities

We assist our clients in a variety of commercial matters that arise in connection with the organization and operation of businesses throughout their development cycle. Our practice includes planning, structuring and implementing mergers and acquisitions, public and private securities offerings, venture capital and secured financings, franchising, corporate reorganizations, equity incentive plans and general business planning for private equity funds, portfolio and strategic companies. We work on sophisticated matters locally, nationally and internationally.
 
Dispute Resolution Counseling
 
International business disputes are a natural consequence of the increase in global commerce. We have significant experience in representing clients in both international arbitration and international litigation matters. Agreements to arbitrate are part of many international business transactions. We advise our clients regarding the pros and cons of the various international commercial arbitrations centers, and we help them structure and negotiate effective dispute resolution agreements for particular countries and particular types of transactions.

Labor & Employment

HRO's labor and employment attorneys assist clients with personnel policies, employment contracts, job applications, and other employment forms; help employers investigate employee misconduct, including sexual harassment, and regularly advise clients on employee discipline and termination. HRO lawyers counsel employers on federal and state wage and hour laws and assist them in understanding and complying with the leave requirements of the Family Medical Leave Act and Americans with Disabilities Act. They regularly represent employers in state and federal courts and before administrative agencies in individual and class action lawsuits and arbitrations involving the full spectrum of employment law claims, including wage and hour matters, wrongful termination, discrimination, harassment, breach of contract, trade secrets, and defamation.

Litigation Practice

Our trial lawyers in L.A. have a general federal and state trial and appellate practice that focuses on commercial transactions and complex business disputes. Our experience includes the representation of public and private companies in litigation matters involving securities, acquisitions, financing, contracts, intellectual property, trade secrets, project development and employment. We represent clients in a variety of industries, including real estate, financial services, energy, environmental, health care, manufacturing and transportation. They have handled numerous claims alleging unfair competition, unfair business practices, false advertising, consumer fraud, economic interference and other statutory and common law business torts. Their real estate litigation experience ranges from the resolution of disputes concerning the financing of projects, to construction litigation, to disputes between commercial landlords and tenants, to claims between buyers and sellers. They represent banks, lenders and other financial institutions in consumer class actions, lender liability cases, consumer credit litigation and other matters. 
 
Mergers & Acquisitions
 
From our seven US offices and three European offices, HRO delivers sophisticated advice to our clients on both national and international M&A transactions. Real Estate, Development and Financing

The firm’s Real Estate, Development, Land Use and Financing group includes attorneys who advise on the full range of commercial real estate matters, including the purchase, development, financing, leasing and sale of industrial, commercial and residential properties, such as manufacturing facilities, Brownfield development sites, office buildings, shopping centers, mixed commercial and retail developments, resort properties, healthcare facilities and residential subdivisions. Lawyers in the Los Angeles office also advise on loan workouts and real estate issues arising out of mergers and corporate reorganizations. The firm’s real estate lawyers coordinate all of these activities with lawyers in the other departments of the firm, including the Corporate, Tax and Environmental Departments, in order to achieve an efficient and integrated approach to each project.
