Experience

Hendrik Jordaan, based in the firm’s Denver office, is Global Co-Managing Partner of the firm’s Corporate Group and Managing Partner of the firm's M&A Group. He specializes in advising financial and strategic buyers and sellers in public and private mergers and acquisitions transactions. In the course of his M&A practice (including distressed M&A), Mr. Jordaan routinely structures, negotiates, and documents a wide array of transactions including asset acquisitions, stock acquisitions, mergers, leveraged buy-outs, auction transactions, tender offers, going-private transactions, and cross-border transactions. His practice spans a variety of industries including health care, logistics, natural resources, sports and entertainment, telecommunications, and technology.

Mr. Jordaan is the Chair of the M&A Committee of the Colorado Bar Association’s Section of Business Law.  He also serves as Chair of the Distressed M&A Task Force of the American Bar Association’s M&A Committee, which has more than 3,000 members and includes M&A specialists from more than 40 countries.  Through his involvement with the M&A Committee, Mr. Jordaan is working on the ABA’s “Deal Points Study” (having served as Vice Chair of the Market Trends Committee) and on a dictionary of M&A terms. Mr. Jordaan also previously worked on revisions to the ABA’s Model Stock Purchase Agreement and on the Committee’s Task Force on Acquisitions of Public Companies.

Representative transactions on which Mr. Jordaan has advised include the following:

  • Represented various multi-billion dollar private equity funds in numerous middle-market M&A transactions
  • Represented multi-billion dollar publicly-traded companies in various middle-market acquisitions and dispositions
  • Represented numerous sub-$100 million dollar private equity funds in acquisitions, strategic investments and other seminal transactions
  • Represented various corporations and individuals in exit sales, recapitalizations, and change of control transactions
  • Represented purchaser in multi-billion dollar unsolicited tender offer for outstanding shares of Nasdaq-listed technology company
  • Represented various management teams in sponsor-backed acquisitions, buy-outs, and other corporate transactions

Mr. Jordaan received his J.D. from Southern Methodist University, where he served as the Editor-in-Chief of The International Lawyer, one of the most widely-circulated legal periodicals in the world. Prior to law school, Mr. Jordaan attended Southern Methodist University on a full tuition scholarship where he captained the varsity tennis team for two years while receiving his bachelor’s degree in Economics with Finance Applications.
