Experience

Sean Odendahl, a partner in HRO’s corporate group, concentrates his practice on middle-market mergers and acquisitions, including: private-equity and strategic investments; acquisitions and divestitures (including distressed and other special situations); and middle-market company issues. Mr. Odendahl has represented businesses in a variety of transactions and regulatory matters, including:

  • public and private acquirers and sellers in domestic, cross-border, and multi-jurisdictional international mergers and acquisitions;
  • private-equity funds and other financial buyers in investments and exits in managed healthcare, durable goods, aerospace, entertainment, and defense-goods manufacturers;
  • clean tech, biotechnology, software, and life science start-up and early-stage companies in angel and venture-capital financing, corporate governance, and AIM Market admission; and
  • issuers and shareholders in initial public offerings; SEC, NYSE, and NASDAQ compliance filings; “going-private” transactions; and takeovers.

Mr. Odendahl joined HRO in 2006. Prior to joining HRO, Mr. Odendahl was an associate at Bell, Boyd & Lloyd LLP in Chicago and clerked for Chief Judge Mary M. Schroeder of the U.S. Court of Appeals for the Ninth Circuit.

Professional & Community Affiliations

Colorado Super Lawyers (2009 and 2010) recognized among Colorado Rising Stars for Mergers & Acquisitions.

Mr. Odendahl was the Editor-in-Chief of the University of Illinois Law Review, and served as a paratrooper and noncommissioned officer in the U.S. Army, where he was decorated for active combat duty in the Persian Gulf War (1990-91).

The September 24, 2007 issue of Law Week Colorado named Mr. Odendahl one of a select group of “up & coming” lawyers in Colorado.
